TERMS AND CONDITIONS — NILA JEWELLERY

1. ACCEPTANCE OF TERMS

This website (https://nilajewellery.com) and the NILA mobile
applications (together, the "Services") are operated by NILA
Jewellery ("NILA," "we," "us," "our"). By accessing or using
the Services, you agree to be bound by these Terms and
Conditions. If you do not agree, please discontinue use.

These Terms apply to everyone who browses, registers, or
transacts on the Services, including guests who have not
created an account.


2. ELIGIBILITY

You must be 18 years or older, and legally capable of entering
into binding contracts, to use the Services or place an order.
By using the Services, you confirm that the information you
provide is accurate and that you will use the Services only
for lawful purposes.


3. ACCOUNT REGISTRATION

You are responsible for keeping your login credentials
confidential and for all activity under your account. Notify
us immediately at support@nilajewellery.com if you suspect
unauthorized access. We may suspend or terminate accounts that
violate these Terms or provide false information.


4. PRODUCTS, PRICING & ACCURACY OF INFORMATION

  - Product descriptions, images, weights, and prices are
    provided for guidance and may occasionally contain
    typographical errors, inaccuracies, or omissions
  - We reserve the right to correct any such error at any
    time, including after you've placed an order, and to
    cancel or adjust orders affected by a pricing or
    description error, with a full refund offered where
    applicable
  - We are under no obligation to update or clarify
    information on the Services except where required by law
  - All prices are in Indian Rupees (INR) and inclusive of
    applicable GST unless stated otherwise
  - Products are subject to availability; we may limit
    quantities or decline an order at our discretion
  - Colours may appear slightly different across devices due
    to screen calibration and photography lighting


5. ORDERS AND PAYMENT

Placing an order is an offer to purchase, subject to these
Terms. Accepted payment methods include credit/debit cards,
UPI, net banking, digital wallets (via Razorpay), and Cash on
Delivery where available.

We may refuse, cancel, or hold any order for verification,
including COD orders that appear high-risk. Order confirmation
is sent by email/SMS once payment is verified (or immediately
for COD, pending our acceptance).


6. NILA WALLET, VOUCHERS & VALUE BUNDLE COLLECTIONS

  - The NILA Wallet holds credit issued through promotions,
    the NILA Second Chance exchange programme, or goodwill
    gestures at our discretion
  - Wallet credit is non-refundable, non-transferable, and
    cannot be withdrawn or exchanged for cash
  - Some wallet credit is time-locked and becomes usable only
    after a stated unlock period and minimum purchase
    threshold, as disclosed at the time the credit is issued
  - Where a discounted or promotional order (including our
    Queen, Empress, and Royal Value Bundle Collections) is
    partially returned, any refund for the returned portion
    may be issued as wallet credit rather than a cash refund,
    reflecting the discount already applied to the full order
  - Voucher codes are single-use unless stated otherwise, have
    a stated validity window, and cannot be combined with
    other offers unless explicitly permitted
  - VIP Membership status (granted with qualifying purchases
    such as the Royal Collection) confers benefits we
    communicate at the time of qualification; we may update or
    retire specific VIP benefits with reasonable notice


7. NILA SECOND CHANCE — EXCHANGE PROGRAMME

  - You may submit old jewellery (any brand, any condition)
    for appraisal through the app or website
  - Submission does not guarantee approval; our team reviews
    each request and may approve, reject, or request more
    information
  - Approved exchanges receive the instant voucher and
    wallet credit disclosed to you at the time of approval
  - Items submitted for exchange are not returned once
    accepted into the programme
  - We reserve the right to decline items we reasonably
    suspect are counterfeit, stolen, or otherwise unsuitable


8. SHIPPING AND DELIVERY

  - We offer free shipping across India on every order
  - Estimated delivery is 4-7 business days from dispatch,
    depending on location; this is an estimate, not a
    guarantee
  - Risk of loss transfers to you upon delivery
  - We are not responsible for delivery delays caused by
    incorrect address information, courier disruptions,
    weather, or events beyond our reasonable control


9. RETURNS, REFUNDS & WARRANTY

Full return and warranty terms are set out in our Return
Policy and Warranty Policy, which form part of these Terms.
In summary:

  - Standard items may be returned within 7 days of delivery
    if unworn, unused, and in original packaging
  - Our NILA Demi-Fine Warranty covers tarnishing and plating
    discolouration for the period stated in the Warranty
    Policy
  - Certain refunds (see Section 6) are issued as wallet
    credit rather than cash, where disclosed in advance
  - Making charges, where itemized separately, are
    non-refundable on change-of-mind returns


10. INTELLECTUAL PROPERTY

All content on the Services - including the NILA name, logo,
product photography, descriptions, and site design - is owned
by NILA or used under license. You may not copy, reproduce,
scrape, or commercially reuse this content without our written
permission.


11. USER SUBMISSIONS

If you submit reviews, ratings, photos, or other content to
the Services, you grant NILA a non-exclusive, royalty-free,
worldwide licence to use, reproduce, and display that content
in connection with promoting NILA and its products. You
confirm you have the right to grant this licence and that your
submission does not infringe any third party's rights. We may
remove any submission at our discretion, including content we
consider inaccurate, offensive, or in violation of these
Terms.


12. PROHIBITED CONDUCT

You agree not to:
  - Use the Services for any unlawful purpose
  - Attempt unauthorized access to any account or system
  - Introduce malware or interfere with the Services'
    operation
  - Impersonate any person or entity
  - Use automated tools to scrape or extract data from the
    Services

Violations may result in account suspension, order
cancellation, and, where appropriate, legal action.


13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, NILA's total liability
for any claim relating to the Services or a specific order is
limited to the amount paid for that order. We are not liable
for indirect, incidental, or consequential damages, or for
delivery delays and events beyond our reasonable control.


14. INDEMNIFICATION

You agree to indemnify NILA against claims, damages, or
expenses arising from your breach of these Terms, violation of
applicable law, or infringement of a third party's rights.


15. GOVERNING LAW

These Terms are governed by the laws of India. Any dispute
arising from these Terms or the Services is subject to the
exclusive jurisdiction of the courts of India.


16. CHANGES TO THESE TERMS

We may revise these Terms at any time. Material changes will
be notified via email or an in-app notice. Continued use of
the Services after a change takes effect constitutes
acceptance of the revised Terms.
